That arrangement sounds fine. There are a lot of different structures out there, but whatever seems a win/win to both parties should work.
A lot of it also depends on the size of the investment by the silent partner. His risk is far greater at a $1,000,000 figure than a $100,000 one, and the compensation should be based accordingly.
